By agreeing to this release (“Release”), I, the undersigned, acknowledge that the StreamCut/Triller events in or around the Atlanta Doppler/StreamCut Studios (the “Program”) may be filmed, photographed and recorded by or for StreamCut Media, LLC, StreamCut Records, LLC, StreamCut Studios, LLC, and Triller Inc. (collectively “Producers”). By attending, participating in, or working at the Program, I represent, warrant, and agree as follows: I (or my parent or legal guardian co-signing below) am at least 18 years of age. The film, video, photographs, or other recorded images or sound recordings obtained at the Program (collectively the “Video”) or any part, result or proceed thereof may be edited, displayed, broadcast, sold, distributed, transmitted or used on movies, television, the Internet, in DVD’s or in any other medium or manner now known or hereafter created. My appearance in the Video does not fall under the jurisdiction of any SAG, AFTRA or other similar agreements. The Producers, their employees, agents, assignees, licensees, successors, subsidiaries and affiliates shall be under no obligation to pay to me any compensation for my appearance in the Video or for the subsequent display, broadcast, sale, distribution, transmission or use of the Video. The Video is the property of Producers. My appearance in the Video shall constitute a gratis assignment to Producers of all worldwide rights, titles, and interests in all copyrights and other intellectual property rights, including synchronization rights, in the Video. Producers will have the irrevocable, unfettered right throughout the universe, in perpetuity, without any credit, royalties or compensation to me, to alter, archive, broadcast, create derivative works of, copy, cut, disclose, display, distribute, edit, modify, perform, post, publish, reproduce, reuse, sell, sub-license, translate, transmit and otherwise use the Video in any medium for advertising, commercial use, marketing, publicity, promotional purposes or otherwise. I waive any moral rights I may have in and to the Video, even if such material is altered or changed in a manner not agreeable to me. Producers shall have the irrevocable, perpetual right to use my name, voice, actions, likeness (actual or simulated), appearance and other identifying information and other reproductions of my likeness and voice including, but not limited to, in connection with the exhibition of the Video in all media now known or hereafter devised, or in connection with the advertising, developing, production, manufacturing, publicity, marketing, merchandising, and promotion thereof, for both commercial and non-commercial purposes. I have the right to grant all rights granted in this Release without the consent of any third party. Producers’ exploitation of such rights does not infringe upon, misappropriate or violate the rights of any third parties, including, without limitation, any intellectual property rights, rights of publicity or privacy or any other proprietary rights or otherwise violate any law, rule, or regulation. Producers have the unfettered right to, in whole or in part, assign its rights and delegate its duties, without any compensation to me.
Released Claims. To the maximum extent permitted by law, I release Producers from any and all claims, actions, damages, liabilities, losses, costs and expenses of any kind arising out of, resulting from, or by reason of, my attendance at the Event and appearance in the Video (including, but not limited to, personal injury, rights of privacy and publicity, false light, or defamation). By reason of my releases, discharges and covenants not to sue, I expressly assume the risks of unknown and unanticipated claims concerning the matters so released, and agree that such releases apply to such unknown and unanticipated claims.
Limitation of Liability. IN NO EVENT SHALL PRODUCERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES IN ANY WAY CONNECTED WITH MY ATTENDANCE AT THE EVENT AND APPEARANCE IN THE VIDEO WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE.
Indemnification. I agree to defend, indemnify and hold harmless Producers from and against any and all claims, damages, costs and expenses arising out of or accruing from: (a) any actions that infringe any right of any person or entity, injures any person, damages any property, or defames any person or violates their rights of publicity or privacy; (b) any misrepresentation made by me; and (c) any claims brought by persons or entities other than the parties to this Release arising from or related to my attendance at the Event appearance on the Video.
Governing Law.This Release shall be governed by and construed in accordance with the laws of the State of Georgia. In the event of any dispute regarding this Release, I consent to the exclusive jurisdiction and venue of courts in Atlanta, Georgia, U.S.A. I agree that in no event will I be entitled to enjoin or restrain the development, distribution, advertising or exploitation of the Video.
I have read and I understand and agree with the foregoing.
PARENTAL CONSENT: I warrant that I am the parent of and/or the legal guardian for the person (the “Minor”) who signed above on the attached Terms and Privacy Policy (the “Agreement”), and I agree to cause Minor to adhere to this Agreement. I consent to and ratify this Agreement and irrevocably guarantee and warrant that Minor will not disaffirm or disavow this Agreement on the grounds that Minor is a minor or on any other similar grounds. If I breach this Agreement or if Minor breaches this Agreement or disavows or disaffirms this Agreement for any reason stated above, I agree to indemnify Producers against any and all liabilities, claims, damages and expenses of every kind whatsoever suffered or incurred as a result thereof, or in the enforcement of this Agreement against Minor.
